Acceptance of Terms
By accessing or using the Leela Works platform, formerly known as Outbox Black (the "Service"), operated by Humblepaper, Inc. ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our Service.
These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

Description of Service
Leela Works, formerly known as Outbox Black, is an AI-powered contract review and negotiation platform that helps users analyze, redline, and manage their legal documents. The Service includes features such as:
- AI-assisted contract analysis and redlining
- Risk assessment and policy compliance checking
- Negotiation tracking and workflow management
- Integration with email and document storage providers
- Analytics and insights about negotiation patterns

User Accounts
To access certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your password and account
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use of your account

Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service for any illegal or unauthorized purpose
- Violate any applicable laws or regulations
- Transmit any harmful, offensive, or inappropriate content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service or servers
- Use the Service to process unauthorized confidential information
- Reverse engineer or attempt to extract source code

Document and Data Processing
By using our Service, you grant us permission to access, process, and analyze your contracts, legal documents, and communication data for the purpose of providing our AI-powered features. This includes:
- Reading and analyzing document text to provide redlines and risk assessments
- Generating AI-powered responses and negotiation suggestions
- Creating matter-level insights and workflow context for your account, workspaces, and user-facing negotiation features
- Storing necessary data to provide, secure, support, and improve the user-facing functionality you request
We process your data in accordance with our Privacy Policy and applicable data protection laws.
If you connect a Google account, Google user data is also subject to the Google-specific disclosures in our Privacy Policy. We do not sell Google user data, use it for advertising or credit decisions, or use it to train generalized artificial intelligence or machine learning models. Our use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

Subscription and Payment
Some features of the Service may require a paid subscription. By subscribing, you agree to:
- Pay all applicable fees as described in your subscription plan
- Provide accurate billing information
- Authorize automatic recurring payments
- Notify us of any changes to your payment information
Subscription fees are non-refundable except as required by law or as specified in our refund policy.

Intellectual Property
The Service and its original content, features, and functionality are owned by Humblepaper, Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You retain ownership of your documents and negotiation data, but grant us a limited license to process and analyze them as necessary to provide the Service.

Privacy and Data Protection
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
We implement appropriate security measures to protect your data, but cannot guarantee absolute security of information transmitted over the internet.

Service Availability
We strive to provide reliable service, but cannot guarantee that the Service will be available at all times. The Service may be subject to:
- Scheduled maintenance and updates
- Unscheduled downtime due to technical issues
- Limitations imposed by third-party email providers
- Force majeure events beyond our control

Limitation of Liability
To the maximum extent permitted by law, Humblepaper, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.
In no event shall our total liability exceed the amount you paid for the Service in the twelve months preceding the claim.

Indemnification
You agree to indemnify and hold harmless Humblepaper, Inc. from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

Termination
We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will cease immediately.

Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New York.

Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

Severability
If any provision of these Terms is found to be unenforceable or invalid, such provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
